Do Not Assume One Bond Form Works for Every Project

Bond wording follows the Obligee, the contract, the obligation and any prescribed form. A bond form used successfully on one project should not be assumed to work on the next.

There is no all-purpose bond form. Reusing an old one without checking is one of the most common reasons a bond has to be reissued close to a deadline.

What the wording depends on

  • The Obligee — different parties require different wording, and some prescribe a form.
  • The underlying contract — including which document the bond refers to.
  • The type of obligation — a performance obligation, a payment obligation and a post-completion obligation are not interchangeable.
  • A prescribed form — where the requirement annexes or specifies one.
  • Applicable rules or requirements — where the transaction is subject to them.
  • The Surety''s terms — the applicable insurer must be prepared to issue in the form requested.

Why an old form is risky

The obligation may be described differently, the amount basis may differ, the validity may attach to different milestones, and the Obligee may have changed its prescribed wording since. A form that was accepted before does not carry any assurance for a new transaction.

1. Identify the security requirement in the new contract or bidding documents. 2. Check whether a prescribed form is annexed or specified. 3. Provide that form, with the requirement, when you submit — so it can be reviewed and used as appropriate. 4. Where no form is prescribed, provide the security clause itself, so the wording can be prepared against what the requirement actually says.
